Greening successfully completed its public takeover bid for Energy Solar Tech after achieving an acceptance rate exceeding 92% of its share capital , a result that allows it to move forward with the integration of the company and accelerate the execution of its growth strategy.
The offer was accepted by holders of 24,821,734 shares , exceeding the minimum threshold established for the transaction. Shareholders who participated in the takeover bid will receive 0.9546 new Greening shares for each Energy Solar Tech share contributed .
To meet the payment, Greening will carry out a non-cash capital increase. The company will announce its execution to the market once the corresponding procedures are completed.
The acquisition will allow the incorporation of renewable assets in operation with recurring cash generation, in addition to industrial and technological capabilities linked to electrical infrastructure, substations, equipment and modular solutions for data centers.

The integration will also strengthen GreenSol, Greening's engineering, construction and project execution division, in a scenario marked by the growth of electrification, renewable deployment and the demand for new energy infrastructure for data centers.
The operation constitutes the second corporate move executed by the company within its 2026-2030 Strategic Plan, with which it seeks to evolve from a model focused on development and construction towards an integrated energy platform.
The goal is to increase the weight of recurring revenues, strengthen the financial structure, and combine generation assets with engineering, execution, and service delivery capabilities.
“This operation allows us to incorporate highly complementary assets, talent and capabilities, reinforcing our position to lead the consolidation of the sector,” said Pablo Otín, CEO of Greening.
The executive noted that the integration of Energy Solar Tech will contribute to building a more resilient business model, with greater cash generation and new capabilities to sustain profitable growth.
The addition of existing renewable energy facilities will allow Greening to reduce its reliance on revenue solely from project development and construction. The company aims to supplement these activities with cash flow from operating assets and long-term contracts.
At the same time, Energy Solar Tech's industrial capabilities broaden the group's exposure to segments with growth prospects, such as power grids, substations and the infrastructure needed to supply data centers.
Greening positions itself in the consolidation of the renewable market
The acquisition comes amid a context of greater concentration in the sector, in which companies seek to gain scale, diversify their sources of income and strengthen their financial capacity to face new projects.
Greening is committed to growth through selective acquisitions of companies that bring complementary assets, technology, and capabilities. Energy Solar Tech fits into this strategy by combining renewable generation, electrical infrastructure, and industrial solutions.
The operation will also allow the group to improve its ability to participate in larger projects and offer integrated services, from design and construction to asset operation and the supply of electrical solutions.
Meanwhile, Pablo Otín increased his stake in Greening by purchasing 13,307 shares , for a total value of EUR 22,284.40 . The company presented the move as a sign of the management team's confidence in the new growth phase.
With the integration of Energy Solar Tech, Greening advances in the transformation of its structure and gains exposure to businesses capable of generating income in a more stable manner.
The challenge now will be to realize the planned synergies, integrate the capabilities of both companies, and turn the expansion of scale into a sustained improvement in profitability and cash generation.
